CFMN Board of Directors Application

Center for Missouri Nurses (CFMN) is seeking applicants for the 2024 Board of Directors. CFMN operates as an organization to support and encourage the charitable and educational purposes of Missouri Nurses Association (MONA), which is a Missouri not-for-profit corporation qualified for exempt status under Section 501(c)(6) of the Internal Revenue Code.

The MISSION of the CFMN is to fund, support, and implement innovative initiatives to advance the nursing profession and promote the health of Missourians.

The PURPOSE of the CFMN is to:

  • operate in accordance with the Missouri Non-Profit Corporation Act as a 501(c)(3) corporation organized for receiving, maintaining, and distributing funds and other forms of property, as appropriate, in support of both the Missouri Nurses Association and the Center for Missouri Nurses
  • actively generate funds, serve as the principal repository for all charitable donations, and distribute those funds in support of Nursing in Missouri

The CFMN has fiduciary responsibilities over multiple grants, donations, and contracts. The CFMN works to enhance the health and well-being of Missourians through nursing actions in the areas of nursing practice, education, leadership, workforce/workplace, and public advocacy.

The CFMN Board of Directors shall consist of a maximum of twelve members. A minimum of seven and maximum of nine must be members of Missouri Nurses Association. The three additional seats are designated for public-at-large members. In addition, the Chief Executive Officer of Missouri Nurses Association is an ex-officio and non-voting member of the Board of Directors of CFMN.

Application Guidelines

In selecting Directors, the CFMN Board gives special consideration to ensuring that the Board collectively possesses the skills and experience listed on the application below. The Board strives for gender, racial, cultural, geographic and ethnic diversity.

Terms – Each Director serves without pay for a two-year term, or until his/her successor is appointed. Individuals may serve up to three consecutive terms. The Board of Directors may, by majority vote of all members, elect to retain a member of the Board of Directors beyond three terms to promote continuity of operation and preserve expertise. Any Director or officer may be removed from the Board at any time by a majority vote of all members of the CFMN Board.

Meetings – Board meetings are held by telephone conference call, usually one per month, and an in-person meeting twice a year at the MONA office in Jefferson City. Regular attendance is expected. All Directors may serve on one or more Board committees, which meet by telephone conference calls or in person. Special meetings of the Board of Directors may be called by the President, two members of the Board, or Missouri Nurses Association.

Number of Candidates – Four candidates are needed to fill terms in 2024. Two of the board positions must be filled by a MONA member, and two of the positions are at-large positions.

Director Qualifications

Each Director must have:

  • Expertise, education, or experience in one or more of the following areas: provision of health care, health education, health policy, leadership, asset management and investment strategy, or philanthropic administration.
  • Demonstrated ability to contribute perspective in one or more of the following areas: practice, education, leadership, workforce planning and development, or public advocacy.
  • Demonstrated core leadership attributes.
  • A recognized reputation for integrity and competence.
  • Demonstrated ability to understand and appreciate the role and responsibility of a health care philanthropic foundation and the need to balance various constituency requirements.
  • Demonstrated personal interest in and concern for health and welfare and a commitment to accomplishing CMNs overall mission and purpose.
  • Demonstrated ability to devote the time necessary to fulfill Board responsibilities and regularly attend meetings.
